Términos y Condiciones de Venta

 

  1. Estos Términos y Condiciones de Venta son publicados por Sol Livio S.L. Unipersonal, con domicilio social en Calle Núñez de la Peña, Núm. 15, 38202 San Cristóbal de La Laguna (S.C. Tenerife).
  2. Estos Términos y Condiciones de Venta regulan las relaciones entre el proveedor y el cliente en la venta de bienes y servicios entre Sol Livio S.L. Unipersonal (en adelante, el “Vendedor”) y cada uno de sus clientes (en adelante, el “Comprador”), independientemente del método utilizado para realizar la venta (p. ej., compras en línea, telefónicas, etc.).
  3. Definiciones: 

3.1. “Comprador”: se refiere a la persona física o jurídica a la cual el Vendedor vende Productos o Servicios en virtud del Contrato. El Comprador no podrá ceder sus derechos y obligaciones a terceros, incluidos familiares.

3.2. “Contrato”: significa el acuerdo específico firmado por ambas partes para la venta y compra de Productos y Servicios, o la compra realizada en línea por el Comprador y aceptada por el Vendedor, junto con estos Términos y Condiciones de Venta, la cotización final del Vendedor y el alcance de trabajo acordado, cuando sea aplicable.

3.3. “Precio”: es el precio acordado establecido en la página web dedicada o en el Contrato para la venta de Productos y Servicios, incluidas las modificaciones (si las hubiera) de acuerdo con el propio Contrato.

3.4. “Productos”: se refiere a los libros y otros bienes tangibles que el Vendedor ha acordado suministrar al Comprador según el Contrato.

3.5. “Vendedor”: es la entidad que proporciona Productos o realiza Servicios bajo el Contrato. El Vendedor, como se define en la cláusula 2, podrá en todo momento y sin aviso ceder el Contrato total o parcialmente a cualquier cesionario a su discreción. Se entiende expresamente que, en caso de pagos procesados por Stripe, el destinatario de los pagos realizados por el Comprador será Sol Livio S.L. Unipersonal, pero el Vendedor seguirá siendo el definido en la cláusula 2.

3.6. “Servicios”: se refiere a los servicios que el Vendedor ha acordado realizar para el Comprador en virtud del Contrato.

  1. Estos Términos y Condiciones de Venta regulan las relaciones comerciales y son aplicables a las transacciones comerciales concluidas entre el Comprador y el Vendedor, es decir, a Contratos completos o parciales celebrados entre el Vendedor y el Comprador, a partir de la fecha de su publicación, donde estos Términos y Condiciones de Venta sustituyen a todos los términos y condiciones anteriores. Las transacciones celebradas bajo términos y condiciones anteriores se rigen por los términos y condiciones anteriores. Si algún Contrato negociado por el Comprador y el Vendedor estipula explícitamente términos contractuales adicionales o contradictorios, dichas disposiciones prevalecerán sobre las disposiciones de los Términos y Condiciones de Venta en la medida en que existan discrepancias. Los términos y condiciones de compra y otros términos similares del Comprador no forman parte del contrato, incluso si el Vendedor acepta el pago del Comprador y realiza la entrega de bienes y/o servicios.
  2. El Contrato se considerará ejecutado en el momento en que ambas partes lo firmen (incluso en formato digital), o, si no se firma dicho Contrato, al momento del pago del Producto o Servicio que el Vendedor pone a disposición a través de sus canales.
  3. La publicidad de Productos y Servicios en los sitios web del Vendedor y otros canales, como redes sociales, no constituye en sí misma una oferta de venta, sino solo una invitación para que el Comprador realice un pedido de compra a través del procedimiento dedicado para cada Producto o Servicio. Para ciertos Productos o Servicios, pueden ser necesarios Contratos específicos negociados por las partes; de lo contrario, se aplicará el procedimiento en línea dedicado. En este último caso, una vez que el Comprador realiza el pedido, el Vendedor puede aceptarlo a su entera discreción de acuerdo con el procedimiento dedicado, y el Contrato se considerará ejecutado.
  4. La realización de cada pedido por parte del Comprador y la ejecución de cada Contrato no negociado entre las partes requiere y conlleva la aceptación plena por parte del Comprador de estos Términos y Condiciones de Venta, así como de la Política de Privacidad, la Política de Cookies y los Términos del Sitio Web del Vendedor.
  5. Para determinar la jurisdicción del Comprador, la información proporcionada por el Comprador, así como su dirección IP, contribuirán a dicha determinación.
  6. El Vendedor se reserva el derecho de rechazar pedidos de Compradores que, directa o indirectamente, a través de sus afiliados:

9.1. Tengan disputas (ya sean judiciales, extrajudiciales o de resolución alternativa de conflictos) con el Vendedor y sus afiliados.

9.2. Hayan violado, incluso parcialmente, alguna de las condiciones del Vendedor;

9.3. Estén involucrados en fraudes, particularmente en línea y/o relacionados con instrumentos de pago;

9.4. Hayan proporcionado información personal/comercial falsa, incompleta, desactualizada o engañosa, y/o información personal/comercial de terceros, y/o se nieguen a proporcionar dicha información según se detalla en la cláusula 10;

9.5. No sean mayores de edad y/o no posean el derecho de celebrar contratos similares;

9.6. Cuyos instrumentos de pago no sean aceptados por el sistema de procesamiento de pagos.

  1. Ciertos Servicios y Productos vendidos en línea por el Vendedor requieren que el Comprador primero se registre en la plataforma dedicada del Vendedor e identifique su identidad mediante un breve video que muestre su rostro y documento de identidad con el nombre completo, número de identificación, tipo y fecha de vencimiento claramente visibles. Toda esta información es necesaria para evitar piratería y será tratada de acuerdo con la política de privacidad y las leyes aplicables sobre protección de datos personales y sensibles. Los Compradores registrados no necesitarán hacer dicho video para cada compra realizada en la plataforma. La falta de identificación del Comprador por cualquier motivo (como, pero no limitado a, videos corruptos o de baja calidad), cuando se solicite, o, según la cláusula 9.4, proporcionar información personal/comercial falsa, incompleta, desactualizada o engañosa, hará imposible que el Vendedor venda sus Servicios y Productos y, en caso de que el Vendedor ya los haya vendido, se considerará un caso válido y automático de rescisión del Contrato; en tal caso, se bloqueará inmediatamente el acceso a los Servicios y cualquier suma pagada será retenida por el Vendedor como compensación parcial por daños y el Vendedor tendrá el derecho de reclamar daños adicionales y denunciar al Comprador ante las autoridades por proporcionar información falsa y suplantación de identidad.
  2. De conformidad con la cláusula 3.1, el pago de los Productos y Servicios deberá ser realizado por el propio Comprador mediante un método de pago aceptado por el Vendedor y a nombre del Comprador. La violación de esta disposición otorgará al Vendedor el derecho de rescindir inmediatamente el Contrato y retener las sumas pagadas como compensación parcial por daños.
  3. Para los Servicios de consultoría (por ejemplo, no cursos de catálogo), el uso de estos Servicios será válido por una duración de seis meses a partir de la fecha de compra por el Comprador, a menos que se acuerde un plazo diferente por escrito entre el Vendedor y el Comprador. Si el Comprador no utiliza dichos servicios dentro del plazo mencionado, los Servicios se perderán y el Comprador no tendrá derecho a ningún reembolso.
  4. Si bien el Comprador puede aplicar lo que ha aprendido de los Productos o Servicios comprados en su propio negocio, el Comprador no tendrá derecho a revender el contenido de dichos Productos o Servicios, en su totalidad o en parte, ni a copiarlos en su totalidad o en parte, y en ningún caso a actuar, directa o indirectamente, en competencia con el Vendedor.
  5. Las especificaciones de los Productos y Servicios se describen en sus páginas dedicadas y/o por el personal del Vendedor.
  6. Los precios incluyen el IVA, si corresponde.
  7. Los derechos, costos de envío y cualquier otro costo no están incluidos en los precios.
  8. Los métodos de pago aceptados pueden modificarse ocasionalmente por el Vendedor sin previo aviso. La información de pago se considera sensible y será protegida por el Vendedor, quien podrá utilizarla y divulgarla expresamente a las autoridades relevantes, si así se requiere, para fines fiscales, antiterrorismo y de prevención de lavado de dinero.
  9. El Comprador podrá proporcionar ciertos datos de contacto, como, entre otros, dirección de correo electrónico o número de teléfono, para recibir notificaciones sobre la entrega de Productos y Servicios y actualizaciones relacionadas.
  10. Ciertos Servicios incluyen materiales impresos, los cuales el Comprador podrá conservar, incluso en caso de reembolso y bloqueo de acceso al Servicio. El Vendedor no será responsable de la pérdida de dichos materiales impresos por el Comprador o terceros, ni de su recolección en caso de reembolso o terminación del Contrato. 
  11. Salvo que se estipulen otras garantías en contratos específicos, los Servicios y Productos no incluyen ninguna garantía en particular, excepto que estarán completos y accesibles al momento del pago, a menos que el Contrato se rescinda. El Vendedor no garantiza ningún resultado que el propio Comprador pueda o no alcanzar mediante los Servicios y Productos.
  12. A menos que se estipule lo contrario en los Contratos, se aplican las siguientes políticas de reembolso: 

21.1. Los Compradores pueden solicitar un reembolso por cada Servicio adquirido dentro de los noventa días naturales a partir de la compra, sin importar el motivo de la solicitud. En tal caso, tras el reembolso, el Vendedor desactivará el acceso al Servicio, aunque el Comprador puede conservar los Productos según la cláusula 19. 

21.2. Los reembolsos por transferencia bancaria y PayPal tardarán normalmente catorce días hábiles, mientras que los reembolsos por tarjeta de crédito suelen tardar siete días hábiles, lo cual escapa a la responsabilidad del Vendedor, ya que depende de los procedimientos de las instituciones de pago. 

21.3. Los reembolsos solo se realizarán a la misma persona física o jurídica que compró los Productos o Servicios como Comprador y se harán a través del mismo método de pago utilizado por el Comprador.

  1. En ningún caso el Vendedor será responsable ante el Comprador o terceros por pérdida de uso, ingresos o beneficios, disminución de valor o daños consecuentes, indirectos, incidentales, especiales, ejemplares o punitivos, ya sea por incumplimiento de contrato, agravio, incluida la negligencia, u otra causa, independientemente de si tales daños eran previsibles y si el Vendedor fue advertido de la posibilidad de tales daños. La responsabilidad agregada del Vendedor relacionada con cada Contrato no excederá el monto total pagado al Vendedor por los Productos o Servicios vendidos. Esta limitación de responsabilidad es un fundamento material de la negociación entre las partes y refleja la distribución de riesgos pactada, sin la cual el Vendedor no habría accedido a proporcionar los Productos o Servicios al precio cobrado.
  2. El Comprador, como “Parte Indemnizadora”, indemnizará al Vendedor (como “Parte Indemnizada”) por reclamaciones de terceros por daños personales o a la propiedad tangible causados por la negligencia de la Parte Indemnizadora en relación con cada Contrato. En caso de que el daño sea causado por negligencia conjunta del Comprador y el Vendedor, la pérdida se repartirá entre las partes proporcionalmente.
  3. El Comprador no tiene derechos sobre los derechos de propiedad intelectual del Vendedor, tales como marcas comerciales, nombres comerciales, logotipos, derechos de autor y patentes, ni puede interferir con ellos, copiarlos, modificarlos o distribuirlos a terceros.
  4. El Comprador no tiene derechos sobre los productos de software y no está autorizado a interferir con ellos, copiarlos, modificarlos ni distribuirlos a terceros.
  5. Todos los derechos de propiedad intelectual e industrial en el sentido más amplio, ya sean registrados o no, y que pertenezcan al Vendedor seguirán siendo propiedad exclusiva de este en todo momento; el Comprador o terceros no tendrán título, licencia ni ningún otro derecho sobre ellos.
  6. El Comprador declara que no está sujeto a sanciones comerciales impuestas por EE. UU., la UE o la ONU y que cumple y cumplirá con todas las leyes aplicables relativas a restricciones comerciales y/o controles de exportación. Proporcionará evidencia de cumplimiento según lo solicite razonablemente el Vendedor. 
  7. El Comprador declara y garantiza que cumple y cumplirá con todas las leyes aplicables contra el soborno y la corrupción, incluidas las leyes de Prácticas Corruptas en el Extranjero de EE.UU. (US Foreign Corrupt Practices Act), y que no ha ofrecido, pagado, prometido ni autorizado directa ni indirectamente la entrega de dinero u otros valores a ningún funcionario gubernamental con el fin de influir en cualquier acto o decisión de dicho funcionario. El Comprador no está en ninguna lista de entidades mantenida por el gobierno de los Estados Unidos que identifique a partes a las que la venta de bienes o servicios esté restringida o prohibida, ni está asociado con ninguna organización incluida en dichas listas.
  8. El Vendedor no será responsable ni estará obligado frente al Comprador, ni se considerará que haya incumplido el Contrato, por cualquier fallo o demora en cumplir o ejecutar cualquier término del mismo, cuando dicho fallo o demora sea causado por o resulte de actos o circunstancias fuera del control razonable del Vendedor, incluyendo, entre otros, actos de Dios, inundación, incendio, terremoto, explosión, acciones gubernamentales, guerra, invasión u hostilidades (ya sea que la guerra esté declarada o no), amenazas o actos terroristas, disturbios o cualquier otro desorden civil, emergencia nacional, revoluciones, insurrecciones, epidemias, pandemias, cierres, huelgas u otros conflictos laborales (ya sea o no relacionado con la fuerza laboral de cualquiera de las partes), o restricciones o demoras que afecten a los transportistas, o la imposibilidad o retraso en la obtención de suministros de materiales adecuados o apropiados, averías de telecomunicaciones o cortes de energía.
  9. El Comprador proporciona al Vendedor sus datos personales de acuerdo con la legislación aplicable en materia de protección de datos personales. Todos los datos proporcionados por el Comprador son almacenados y protegidos contra el uso indebido y no se proporcionarán a terceros a menos que el Comprador otorgue su consentimiento para ello. Los datos del Comprador podrán ser utilizados únicamente por el Vendedor y solo para fines estadísticos y de comunicación directa con el Comprador, así como para el envío de comunicaciones de marketing. Al aceptar estos Términos y Condiciones de Venta, el Comprador acepta la recopilación y uso de sus datos personales. El Comprador tiene derecho a retirar su consentimiento para el procesamiento de sus datos personales en cualquier momento mediante notificación por escrito. Es deber del Comprador proporcionar datos precisos y veraces e informar al Vendedor sin demora indebida sobre cualquier cambio en sus datos personales.
  10. Durante la vigencia de cada Contrato, las partes pueden tener acceso a la información confidencial de la otra: como condición para el establecimiento y continuación del Contrato, cada parte se compromete a mantener la confidencialidad de dicha información confidencial, así como a cumplir con las normativas aplicables, como el RGPD, sobre el tratamiento de datos personales.
  11. Toda la información no pública, confidencial o de propiedad exclusiva del Vendedor, incluyendo, sin limitarse a especificaciones, muestras, diseños, planos, dibujos, documentos, datos, operaciones comerciales, listas de clientes, precios, descuentos o rebajas, divulgada por el Vendedor al Comprador, ya sea de forma oral o escrita, electrónica u otra, y si está marcada o designada o no como “confidencial” en relación con cada Contrato, es confidencial, exclusivamente para la ejecución de cada Contrato y no podrá ser divulgada o copiada a menos que el Vendedor lo autorice previamente por escrito. A solicitud del Vendedor, el Comprador deberá devolver, eliminar o destruir de inmediato todos los documentos y demás materiales recibidos del Vendedor. El Vendedor tendrá derecho a medidas cautelares por cualquier violación de esta disposición. Esta disposición no se aplica a la información que: (a) esté en el dominio público; (b) sea conocida por el Comprador en el momento de la divulgación; o (c) haya sido obtenida de manera legítima por el Comprador de un tercero sin carácter confidencial. Esta disposición seguirá vigente tras la terminación de cualquier Contrato y permanecerá en vigor durante diez años después de ello.
  12. El Comprador no podrá ceder ninguno de sus derechos ni delegar ninguna de sus obligaciones bajo estos Términos y Condiciones de Venta sin el consentimiento previo por escrito del Vendedor. Cualquier cesión o delegación en violación de esta disposición es nula y sin efecto. Ninguna cesión o delegación exime al Comprador de sus obligaciones bajo este Contrato.
  13. La relación entre las partes es la de contratistas independientes. Ningún contenido de estos Términos y Condiciones de Venta deberá interpretarse como la creación de una agencia, sociedad, empresa conjunta u otra forma de empresa conjunta, empleo o relación fiduciaria entre las partes, y ninguna de las partes tendrá autoridad para contratar o vincular a la otra parte de ninguna manera.
  14. Si alguna cláusula o disposición de estos Términos y Condiciones de Venta es inválida, ilegal o inaplicable en alguna jurisdicción, dicha invalidez, ilegalidad o inaplicabilidad no afectará ninguna otra cláusula o disposición de los Términos y Condiciones de Venta ni invalidará o hará inaplicable dicha cláusula o disposición en ninguna otra jurisdicción.
  15. Las disposiciones de estos Términos y Condiciones de Venta que, por su naturaleza, deban aplicarse más allá de su término, seguirán en vigor después de cualquier terminación o expiración de estos Términos y Condiciones, incluidas, entre otras, las siguientes disposiciones: protección de derechos de propiedad intelectual, datos personales, información confidencial, indemnización y ley aplicable y jurisdicción.
  16. Estos Términos y Condiciones de Venta están redactados únicamente en inglés. Cualquier traducción es realizada solo por conveniencia.
  17. Los presentes Términos y Condiciones de Venta y los Contratos se rigen por las leyes de España.
  18. Cualquier disputa que surja de la formación, ejecución, interpretación, nulidad, terminación o invalidez de estos Términos y Condiciones de Venta y Contratos relacionados, o que surja de ellos o esté relacionada de alguna manera, se resolverá en los tribunales de España. La sede de arbitraje será la del CIAM-CIAR. No obstante lo anterior, el Vendedor tendrá derecho a entablar una acción urgente contra el Comprador y sus filiales en cualquier otra jurisdicción competente.

[✔] La venta de cualquier Producto o Servicio está expresamente condicionada a la aceptación por parte del Comprador de los presentes Términos y Condiciones. Cualquier aceptación de la oferta del Vendedor está expresamente limitada a la aceptación de estos Términos y Condiciones y el Vendedor se opone expresamente a cualquier término adicional o diferente propuesto por el Comprador.

[✔] Ningún formulario del Comprador modificará estos Términos y Condiciones, ni ninguna actuación, curso de negociación o uso comercial operará como modificación o renuncia a estos Términos y Condiciones. Cualquier orden para comprar productos o recibir servicios constituirá la aceptación de estos Términos y Condiciones por parte del Comprador. A menos que se especifique lo contrario en la cotización, la cotización del Vendedor expirará catorce (14) días después de su fecha y podrá ser modificada o retirada por el Vendedor antes de la recepción de la aceptación conforme del Comprador.

Terms and Conditions of Sales

  1. These Terms and Conditions of Sales are published by Sol Livio S.L. Unipersonal, with its registered office at Calle Nuñez de la Peña, Núm. 15 38202 San Cristóbal de La Laguna (S.C. Tenerife)
  2. These Terms and Conditions of Sales govern supplier-customer relationships in the sale of goods and services between Sol Livio S.L. Unipersonal (hereinafter the “Seller”) and each of its customers (hereinafter the “Buyer”), regardless of the method used to perform the sales (e.g. online purchases, telephonic purchases, etc.).
  3. The following terms shall have the following meanings:
    1. “Buyer” means the individual person or legal entity to which Seller is selling Products or Services under the Contract. The Buyer may not assign its rights and obligations to any third-party, including a family member.
    2. “Contract” means either the specific agreement signed by both parties for the sale and purchase of Products and Services, or the purchase made online by the Buyer and accepted by Seller, for the sale of Products or Services, together with these Terms and Conditions od Sales, the Seller’s final quotation and the agreed scope of work, where applicable.
    3. “Price” means the agreed price stated in the dedicated web-page or in Contract for the sale of Products and Services, including adjustments (if any) in accordance with the Contract itself.
    4. “Products” means the books and other goods in tangible form the Seller has agreed to supply to the Buyer under the Contract.
    5. “Seller” means the entity providing Products or performing Services under the Contract. The Seller as defined under clause 2 may at all times and without notice assign the Contract in whole or in part to any assignees at its own discretion. It is expressly understood that, in case of payments processed by Stripe, the recipient of payments made by the Buyer shall be Sol Livio S.L. Unipersonal, but the Seller shall remain as defined under clause 2.
    6. “Services” means the services Seller has agreed to perform for Buyer under the Contract.
  4. These Terms and Conditions of Sales regulate business relationships and are applicable to business transactions concluded between the Buyer and the Seller, i.e. to whole or partial Contracts entered into between the Seller and the Buyer, from the date of their publication, where these Terms and Conditions of Sales supersede all the previous terms and conditions. Transactions concluded under any previous terms and conditions are governed by the previous terms and conditions. If any Contract negotiated by the Buyer and the Seller explicitly stipulates additional or contradictory contractual terms, such provisions prevail over the provisions of the Terms and Conditions of Sales limited to where discrepancies occur. The terms and conditions of purchase and other similar terms of the Buyer are not part of the contract, even if the Seller accepts the Buyer’s payment and performs the delivery of goods and/or services.
  5. The Contract is deemed executed at the moment when it is signed by both parties (including in digital format), or, if no such Contract is signed, upon payment of the Product or Service made available by the Seller through its channels.
  6. The advertising of Products and Services on the Seller’s websites and other channels, such as social networks, does not constitute per se a sale offer, but rather only an invite for the Buyer to place a purchase order through the dedicated procedure for each Product or Service. For certain Products or Services, ad hoc Contracts negotiated by the parties may be necessary, otherwise the dedicated online procedure shall apply. In this latter instance, once the order is placed by the Buyer, the Seller may accept it at its sole discretion according to the dedicated procedure, and the Contract shall be deemed executed.
  7. The placement of each order by the Buyer and the execution of each Contract not negotiated between the parties requires and entails the full acceptance by the Buyer of these Terms and Conditions of Sales, as well as of the Seller’s Privacy Policy, Cookie Policy and Website Terms.
  8. In order to determine the Buyer’s jurisdiction, the information provided by the Buyer, as well as his/her/its IP address shall contribute to such determination.
  9. The Seller reserves the right to reject orders by Buyers that either directly or through their affiliates:
    1. which currently have disputes (whether in- or off-court or alternative-dispute-resolution) with the Seller and its affiliates;
    2. which have even only in part violated any of the Seller’s conditions;
    3. which are involved in frauds, particularly online and/or related to payment instruments;
    4. which have provided false, incomplete, outdated, misleading personal / business information, and/or third parties’ personal / business information, and/or refuse to provide said information as better detailed under clause 10;
    5. which are not of legal age and/or do not enjoy the right to enter into similar contracts;
    6. whose payment instruments are not accepted by the payment processing system.
  10. A number or Services and Products sold online by the Seller requires that the Buyer first register itself on the dedicated Seller’s platform and identify itself by making a short videoclip showing his or her face and ID with full name, ID number, type and expiry date clearly visible. All these pieces of information are required to avoid piracy and shall be treated according to the privacy policy and applicable laws on personal and sensitive data protection. Registered Buyers will not need take such video for each purchase they make on the platform. Failure to identity the Buyer for whatever reason (such as, though not limited to, corrupted or low quality videos), where requested, or, as per clause 9.4, providing false, incomplete, outdated, misleading personal / business information, shall make it impossible for the Seller to sell its Services and Products and, in case the Seller has already sold them, it shall be considered as a valid and automatic case of termination of Contract; in such case, access to the Services shall be immediately blocked and whatever sum paid shall be retained by the Seller for (partial) damages and the Seller shall enjoy any widest right to claim further damages and report the Buyer to authorities for providing false information and identity.
  11. Pursuant to clause 3.1, payment for the Products and Services shall be made by the Buyer itself through a method of payment accepted by the Seller and in the Buyer’s name. Violation of this provision shall entitle the Seller to immediately terminate the Contract and retain the sums paid as partial damage.
  12. For consultation Services (for mere example, not catalogue courses), the use of these Services will be valid for a duration of six months from the date of purchase by the Buyer, unless a different timeframe is mutually agreed upon in writing by the Seller. Should the Buyer not make use of said services within the above-mentioned deadline, the Services will be lost and the Buyer shall not be entitled to any refund.
  13. Whilst the Buyer may apply what it has learnt from the purchased Products or Services in its business, the Buyer shall have no right to resell the content of such Products or Services in whole or in part, nor to copy it in whole or in part and in any case not to act, directly or indirectly, in competition against the Seller.
  14. Products and Services’ specifications are described in their dedicated pages and/or by the Seller’s personnel.
  15. Prices include VAT, if applicable.
  16. Duties, shipping costs and any other costs are not included in the Prices.
  17. Accepted payment methods may be changed from time to time by the Seller without notice. Payment information shall be constitute sensitive information and therefore be protected as such by the Seller, which nonetheless may expressly utilise them and disclose them to the relevant authorities, if so required, for tax, anti-terrorism and anti-money-laundering purposes.
  18. The Buyer may provide certain contact information, such as, though not limited to email address or phone number, to receive notifications on the delivery of Products and Services and related updates.
  19. Certain Services include hard-copy materials, which hard-copy materials may be retained by the Buyer, even in case of refund and block of access to the Service. The Seller shall not be liable for the loss of such hard-copy materials by the Buyer or third parties, nor for the collection of them in case of refund or termination of the Contract for whatever reason.
  20. Unless other warranties are stipulated in ad-hoc Contracts, the Services and Products do not entail any particular warranty, except that they will be complete and delivered and rendered accessible upon payment, unless the Contract is terminated. The Seller does not guarantee any result that the Buyer itself may or may not attain through the Services and Products.
  21. Unless otherwise stipulated in the Contracts, the following refund policies apply:
    1. 21.1.Buyers may require a refund for each Service bought within ninety calendar days from the purchase, whatever the reason for such request. In such case, upon refund, the Seller shall render the Service inaccessible, but the Buyer may retain the Products as per clause 19.
    2. 21.2.Refunds by bank transfers and PayPal shall normally take fourteen working days, while refunds by credit card shall normally take seven working days. This naturally escapes the responsibility and liability of the Seller, as it depends on payment institutions’ procedures.
    3. 21.3.Refunds may only be made to the same natural person / legal entity that purchased the Products or Services as Buyer and shall be made via the same method of payment used by the Buyer.
  22. In no event shall the Seller be liable to the Buyer or any third party for any loss of use, revenue or profit or diminution in value, or for any consequential, indirect, incidental, special, exemplary, or punitive damages whether arising out of breach of contract, tort, including negligence, or otherwise, regardless of whether such damages were foreseeable and whether or not the Seller has been advised of the possibility of such damages, and notwithstanding the failure of any agreed or other remedy of its essential purposes. In no event shall the Seller’s aggregate liability arising out or related to each Contract, whether arising out of or related to breach of contract, tort, including negligence, or otherwise, exceed the total of the amounts paid to the Seller for the Products or Services sold hereunder. This limitation of liability is a material basis for the parties’ bargain and reflects the bargained-for allocation of risks between Seller and Buyer, without which the Seller would not have agreed to provide the Products or Services at the price charged.
  23. The Buyer, as an “Indemnifying Party”, shall indemnify the Seller (as an “Indemnified Party”) from and against claims brought by a third party, on account of personal injury or damage to the third party’s tangible property, to the extent caused by the negligence of the Indemnifying Party in connection with each Contract. In the event the injury or damage is caused by joint or concurrent negligence of Buyer and Seller, the loss or expense shall be borne by each party in proportion to its degree of negligence.
  24. The Buyer has no rights to use any intellectual property rights, whether or not registered, vested with the Seller or its affiliates, such as, though not limited to, trademarks, business names, logos, copyrights and patents of the Seller or other companies whose products are included in the Seller’s Products and Services.
  25. The Buyer has no rights to software products and is not entitled to interfere with them, copy them, otherwise modify them or distribute them to third parties.
  26. All intellectual and industrial property rights in the broadest sense, whether registered or unregistered, owned by the Seller shall remain so at all times, and the Buyer or third parties shall have no title, license, or otherwise.
  27. The Buyer represents and warrants that it is not subject to any trade sanctions imposed by the United States of America, the European Union, and/or the United Nations, and that it is in compliance and shall comply with all applicable laws and regulations relating to trade restrictions and/or export controls (including trade sanctions imposed by the US, EU and/or UN) with respect to Products and Services sold hereunder, and shall provide evidence of compliance with the foregoing as the Seller may reasonably request from time to time.
  28. The Buyer represents and warrants that it is in compliance and shall comply with all applicable anti-bribery and anti-corruption laws, including the US Foreign Corrupt Practices Act, and has not, directly or indirectly, offered, paid, promised, or authorised the giving of money or anything of value to any government official for the purpose of influencing any act or decision of such government official. The Buyer is not on, nor is the Buyer associated with any organisation that is on, any list of entities maintained by the United States government that identifies parties to which the sale of goods or services is restricted or prohibited.
  29. The Seller shall not be liable or responsible to Buyer, nor be deemed to have defaulted or breached any Contract, for any failure or delay in fulfilling or performing any term of it, when and to the extent such failure or delay is caused by or results from acts or circumstances beyond the reasonable control of Seller including, without limitation, acts of God, flood, fire, earthquake, explosion, governmental actions, war, invasion or hostilities (whether war is declared or not), terrorist threats or acts, riots or other civil unrest, national emergency, revolutions, insurrections, epidemics, pandemics, lockouts, strikes or other labour disputes (whether or not relating to either party’s workforce), or restraints or delays affecting carriers or inability or delay in obtaining supplies of adequate or suitable materials, materials or telecommunication breakdown or power outage.
  30. The Buyer provides the Seller with personal data in accordance with applicable legislation on personal data protection. All data provided by the Buyer are stored and protected against misuse and will not be provided to any third party unless the Buyer grants consent to it. Buyer’s data may be used only by the Seller and only for statistical purposes and direct communication with the Buyer, as well as for the purposes of sending marketing communications. By accepting these Terms and Conditions of Sales, the Buyer agrees to the collection and use of personal data. The Buyer has the right to withdraw its consent to the processing of personal data at any time by written notice. It is the Buyer’s duty to provide accurate and true data and to inform the Seller without undue delay about any change in its personal data.
  31. During validity of each Contract, the parties may become aware of each other’s confidential information: as a condition for the establishment and continuation of the Contract, each party undertakes to maintain the confidentiality of such confidential information, as well as to comply with applicable regulations – such as the GDPR – on the processing of personal data.
  32. All non-public, confidential or proprietary information of the Seller, including but not limited to specifications, samples, designs, plans, drawings, documents, data, business operations, customer lists, pricing, discounts or rebates, disclosed by the Seller to the Buyer, whether disclosed orally or disclosed or accessed in written, electronic or other form or media, and whether or not marked, designated or otherwise identified as “confidential” in connection with each Contract is confidential, solely for the use of performing each Contract and may not be disclosed or copied unless authorised in advance by the Seller in writing. Upon the Seller’s request, the Buyer shall promptly return / erase / destroy all documents and other materials received from the Seller. The Seller shall be entitled to injunctive relief for any violation of this provision. This provision does not apply to information that is: (a) in the public domain; (b) known to the Buyer at the time of disclosure; or (c) rightfully obtained by Buyer on a non-confidential basis from a third party. This provision shall survive termination of any Contract and remain in force for ten years thereafter.
  33. The Buyer shall not assign any of its rights or delegate any of its obligations under these Terms and Conditions of Sales without the prior written consent of the Seller. Any purported assignment or delegation in violation of this provision is null and void. No assignment or delegation relieves the Buyer of any of its obligations under this Contract.
  34. The relationship between the parties is that of independent contractors. Nothing contained in these Terms and Conditions of Sales shall be construed as creating any agency, partnership, joint venture or other form of joint enterprise, employment or fiduciary relationship between the parties, and neither party shall have authority to contract for or bind the other party in any manner whatsoever.
  35. If any term or provision of these Terms and Conditions of Sales is invalid, illegal or unenforceable in any jurisdiction, such invalidity, illegality or non-enforceability shall not affect any other term or provision of the Terms and Conditions of Sales or invalidate or render unenforceable such term or provision in any other jurisdiction.
  36. Provisions of these Terms and Conditions of Sales which by their nature should apply beyond their terms will remain in force after any termination or expiration of these Terms and Conditions including, but not limited to, the following provisions: protection of intellectual property rights, personal data, confidential information, indemnification and governing law and jurisdiction.
  37. These Terms and Conditions of Sales are in English only. Any translation is made for convenience only.
  38. The present Terms and Conditions of Sales and Contracts are governed by the laws of Spain.
  39. Any dispute arising out of the formation, performance, interpretation, nullification, termination or invalidation of these Terms and Conditions of Sales and related Contracts, or arising therefrom or related thereto in any manner whatsoever, shall be settled by the courts of Spain. The venue of arbitration shall be that of the CIAM-CIAR. Notwithstanding the foregoing, the Seller shall be entitled to bring an urgent action against the Buyer and its affiliates in any other competent jurisdiction.

[tick] Sale of any Products or Services is expressly conditioned on the Buyer’s assent to the present Terms and Conditions. Any acceptance of Seller’s offer is expressly limited to acceptance of these Terms and Conditions and Seller expressly objects to any additional or different terms proposed by Buyer.

[tick] No Buyer form shall modify these Terms and Conditions, nor shall any course of performance, course of dealing, or usage of trade operate as a modification or waiver of these Terms and Conditions. Any order to purchase products or receive services shall constitute Buyer’s assent to these Terms and Conditions. Unless otherwise specified in the quotation, Seller’s quotation shall expire fourteen (14) days from its date and may be modified or withdrawn by Seller before receipt of Buyer’s conforming acceptance.
